Redefining Corporate Governance in Digital Era: Strategies for Mitigating Organizational Risk

Corporate governance refers to a set of rules, norms, and guidelines to determine how corporations are controlled. It also encompasses the relationship between the company’s shareholders, other stakeholders, and the management board. This chapter considers the fast-evolving context of corporate governance today with a specific focus on the rigor of digital penetration. It also highlights the need for anti-organizational risk frameworks and strategies. We analyze how digital transformation alters the governance designs, increases the boundaries of supervision, and increases suspicion. The advancement of technology has not only changed business processes but has also advanced new problems, many of which can be solved. So, we discuss the pros and cons of these technologies to see how they can be used to improve the processes of governance. The area of focus covers data governance, cyber security, and ethical aspects. We then set forth some measures that deal with the risks emerging from digital transformation, such as improving digital know-how, data security, and the establishment of agile governance frameworks. Moreover, we point out the importance of collaboration between different participants in the process, such as IT units, risk managers, and even regulators. Lastly, this chapter suggests a more sophisticated view of new and future potential developments in corporate governance. By reconstructing the digital age governance frameworks, organizations can have more protection against the erosion of assets and reputation, as well as increase the chances of long-term sustenance.
