In this chapter, the authors explore the complex process of selecting an appropriate legal structure for social enterprises, a topic that remains underexplored despite growing interest in recent years. Existing business guides lack comprehensive financial and legal analysis, making the optimal choice unclear. Building on a previous study, this chapter further investigates legal structures for social enterprises in England and Wales, with particular focus on the potential and performance of Company Limited by Shares (CLS) and Company Limited by Guarantee (CLG) structures. By expanding the sample size and refining the focus, this research aims to address gaps in understanding the suitability of these structures, introducing a novel legal paradigm. The chapter contributes to a multidisciplinary discourse, seeking to enhance societal impact and bridge the gap between social enterprise literature and corporate legal scholarship.
